RHODE ISLAND FC SEASON TICKET MEMBERSHIP TERMS AND CONDITIONS
I understand and agree that the terms and conditions set forth below constitute a binding agreement (this “Agreement”) between me (“I”, “me”, or “Member”) and Rhode Island FC (“RIFC”).
RIFC has established a Season Ticket Member Program (the “Program”), pursuant to which RIFC provides people and entities (each a “Member” and collectively the “Members”) with tickets to each RIFC home match (or, in the case of half-season plans, to a specified number of RIFC home matches each season), along with access to RIFC deals, offers and events, provided that Members remain in good standing in accordance with the terms of this Agreement (the “Membership(s)”). The Program runs on an annual basis, and a person can join the Program at any time during the year (such date, the “Commencement Date”). Memberships will automatically continue unless terminated by the Member or RIFC. RIFC reserves the right to modify the Program benefits at any time, with or without notice. Memberships are at all times subject to applicable RIFC and RIFC’s home stadium (the “Stadium”) rules and policies, as such rules and policies may change from time to time, including but not limited to the RIFC Ticket Terms & Spectator Waiver.
I acknowledge and agree that Memberships do not confer upon Members or their guests any greater rights and privileges with respect to admission to the Stadium than afforded to other holders of tickets for admission thereto. I understand that this Agreement does not create any property rights or interest whatsoever on behalf of the Member.
Account
Members must have an account in RIFC’s official ticketing platform, currently SeatGeek (an “Account”) where Members can access tickets associated with the Memberships, and update Member contact information. By creating an Account, the Account holder will manage all Memberships on the Account and be responsible for all Membership payments on the Account. Members must at all times have a valid credit card or debit card on file in their Account. The credit card or debit card on file in Members’ Accounts will be debited on the Commencement Date, and periodically thereafter, depending on the payment plan selected by Member in accordance with this Agreement. Members are responsible for updating their Account with any changes to their contact information, and must contact RIFC with any changes to the credit card or debit card information associated with their Account.
Membership Payments and Pricing
I authorize RIFC or its designee to automatically charge the credit card or debit card in my Account for my Membership payments, which includes any optional purchases made in connection with my Membership. For all Membership payments, the foregoing payment authorization shall remain in effect for so long as my Membership remains in effect. I represent and warrant that I have the authority to authorize charges to the credit card or debit card in my Account for the purpose of making Membership payments. I agree that if the credit card or debit card information on my Account changes, I will promptly notify RIFC with updated payment information and this authorization will remain in effect.
Membership pricing is based on seat location. Prior to each upcoming season, RIFC will communicate Membership rates for the upcoming season based on seat location (such then-current Membership rate to be defined as the “Current Membership Rate”). Members will be able to select from different payment plans, based on the Current Membership Rate, sign-up date, and number of RIFC home games at the Stadium remaining in the then-current season (if Membership is purchased mid-season). On the Commencement Date and each subsequent season during the Membership (a “Renewal Date”), a Member may elect to pay for their Membership(s) in one annual payment by notifying RIFC in writing of such election. Any Member who fails to make an election shall be deemed to have chosen to continue on the same payment plan from the prior season. Members who choose the annual one-time payment plan will have the credit card or debit card in their Account automatically debited the annual Current Membership Rate on the Commencement Date and each subsequent season.
Members will be notified of any changes to the Current Membership Rate for subsequent seasons at least thirty (30) days in advance of the new Current Membership Rate taking effect. Members will have the option to cancel their Membership(s) prior to being charged any increased rates for subsequent seasons pursuant to the “Cancellation of Membership” terms set forth below.
Under all payment plans, recurring payments will be charged to the Member’s credit or debit card in the Account on the 15th day of each applicable month based on the payment plan selected by the Member. In addition, under all payment plans, Memberships for the then-current RIFC season must be paid in full by May 15 of such season.
Under all payment plans, payments are due and/or automatically billed on the dates specified regardless of match cancellations or postponements. Refunds and exchanges will be handled according to the RIFC Ticket Terms, as they may be modified from time to time.
Members whose credit card or debit card payments are rejected will have twenty-one (21) days following the rejected payment to provide a valid credit card or debit card on their Account and to pay all outstanding Membership balances. RIFC reserves the right to charge a processing fee for any amount incurred by RIFC when a charge authorized by the Member is rejected. Additionally, RIFC reserves the right to restrict entry to RIFC home matches and/or revoke Membership privileges if scheduled payments are not made or if any authorized charge is refused. On the 22nd day following a rejected payment, all Membership(s) associated with an Account may be cancelled by RIFC in its sole discretion. At that time, all active tickets on the Account will be revoked and deactivated, and access to all Membership benefits and amenities will be discontinued. Members wishing to have their Membership(s) reinstated must purchase a new Membership(s).
I understand and agree that RIFC is not liable in any way for any erroneous billing statements, incorrect charges or other error of any kind made or arising as a result of any act by a third party. I acknowledge and agree that RIFC’s responsibility to remedy the error will only arise if and when RIFC receives timely notice and it is within RIFC’s reasonable control to do so.
Playoffs
Tickets to RIFC home playoff matches are not included in the Program. Members will have the option of purchasing tickets for their regular season seat locations for all RIFC home playoff matches, excluding the USL Championship Match, at the then-current playoff ticket pricing. Unless a Member opts out in the manner set forth below, the Member’s Account will be automatically debited for RIFC home playoff matches prior to each match, within one week after each home playoff match has been confirmed. Members will be sent playoff pricing information and an “opt-out” notification approximately 30 days prior to the first USL playoff match of each year. Members who do not wish to purchase tickets to the RIFC home playoff matches for a particular year may opt-out of purchasing playoff tickets by (i) completing within 15 days of receiving the opt-out notification the Playoff Opt-Out form available at https://forms.office.com/r/fYzAtmtBvJ. By opting out, Members’ Accounts will not be debited, Members’ tickets will be invalidated for the playoff matches, and Members shall have no further opportunity, through their Membership(s), to purchase tickets to such RIFC home playoff matches for such USL season.
Premium Seating
Members may be offered, based on availability, the ability to purchase tickets to the club level or other premium areas of the Stadium (“Premium Seating”). All Premium Seating Members are subject to all terms and conditions of this Agreement. Access to Premium Seating areas for a match is conditioned on having a valid ticket to the applicable area to such match, and do not confer upon Members or their guests any greater rights and privileges with respect to admission to the Stadium than afforded to other holders of tickets for admission thereto. RIFC will provide Members who purchase Premium Seating tickets with any additional information, rules, regulations, and policies specific to such Premium Seating.
Transferring Memberships
The primary name listed on the Account is the sole recipient of benefits associated with the Membership(s). A request to transfer Membership(s) must be made by the Account holder of record. Transfers will be allowed at the sole discretion of RIFC and will be subject to any RIFC policies and procedures required to effectuate the transfer.
Cancellation of Membership; Remaining Funds
Memberships may be cancelled at any time by either RIFC or the Member. Members may cancel their Memberships by completing a Cancellation Form available at https://forms.office.com/r/tS68HkvvvR. Members’ Accounts and Membership(s) will remain active for 29 days following RIFC’s receipt of the Cancellation Form. All payments scheduled to occur within this 29-day period will be collected. On the 30th day following receipt of the Cancellation Form, the Membership(s) will be cancelled and no additional payments will be collected. All active tickets on the Account will be revoked and deactivated, and access to all Membership benefits and amenities will be discontinued. No refunds will be issued upon cancellation of the Membership(s). The remaining funds in the Account may be applied toward the purchase of tickets to RIFC home match(es), or other items as made available by RIFC, until no funds remain in the Account.
MANDATORY BINDING ARBITRATION; WAIVER OF CLASS ACTION: This Agreement shall be construed and enforced in accordance with the laws of the State of Rhode Island, without regard to the conflict of laws provisions of such law. I AGREE THAT ANY CURRENT OR FUTURE DISPUTE, CLAIM, ACTION, OR PROCEEDING RELATED TO, OR ARISING FROM, THIS AGREEMENT OR MY PRESENCE AT THE STADIUM (COLLECTIVELY, THE “CLAIMS”) SHALL BE RESOLVED BY MANDATORY, CONFIDENTIAL, FINAL, AND BINDING ARBITRATION. I, ON BEHALF OF MYSELF AND ANY PERSONS USING TICKETS TO THE STADIUM PURSUANT TO MY MEMBERSHIP ON THE ONE HAND, AND RIFC ON THE OTHER HAND, AGREE THAT ALL CLAIMS SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS AND EACH WAIVES ANY RIGHT TO LITIGATE ANY SUCH DISPUTE OR CLAIM IN ANY COURT, WHETHER AS AN INDIVIDUAL, CLASS, OR COLLECTIVE CLAIM, AND WAIVES ANY RIGHT TO ARBITRATE ANY CLAIM AS A CLASS ACTION, REPRESENTATIVE ACTION, OR CLASS ARBITRATION. IF I, OR ANY OF PERSON USING TICKETS TO THE STADIUM PURSUANT TO MY MEMBERSHIP, DO NOT CONSENT TO THIS CLAUSE, I MUST LEAVE OR NOT ENTER THE STADIUM. THIS CLAUSE IS GOVERNED BY THE FEDERAL ARBITRATION ACT.
SHOULD ANY CURRENT OR FUTURE CLAIMS ARISE BETWEEN ME, RIFC OR THE STADIUM, I SHALL SEND A WRITTEN NOTICE DESCRIBING THE ISSUE (A “DISPUTE NOTICE”) TO RIFC AT: RHODE ISLAND FC, 175 MAIN STREET, PAWTUCKET, RI 02860, ATTENTION: LEGAL DEPARTMENT. I, RIFC AND THE STADIUM AGREE TO MAKE A GOOD-FAITH EFFORT TO RESOLVE THE CLAIM FOR AT LEAST 30 DAYS (THE “NEGOTIATION PERIOD”) FOLLOWING RIFC’S RECEIPT OF THE DISPUTE NOTICE. IF I AND RIFC/STADIUM CANNOT RESOLVE THE CLAIM WITHIN THE NEGOTIATION PERIOD, I UNDERSTAND THAT THE CLAIM SHALL BE RESOLVED BY MANDATORY, CONFIDENTIAL, FINAL, AND BINDING ARBITRATION HELD BEFORE A NEUTRAL, SINGLE ARBITRATOR IN PROVIDENCE, RHODE ISLAND CONDUCTED BY THE JUDICIAL ARBITRATION MEDIATION SERVICES, INC. (“JAMS”) IN ACCORDANCE WITH THE JAMS COMPREHENSIVE ARBITRATION RULES AND PROCEDURES EFFECTIVE JUNE 1, 2021. I AGREE THAT ANY AND ALL ISSUES RELATING OR PERTAINING TO ARBITRATION OR THIS ARBITRATION CLAUSE, INCLUDING BUT NOT LIMITED TO THE ENFORCEABILITY OR VALIDITY OF THIS ARBITRATION CLAUSE, SHALL BE DELEGATED TO THE ARBITRATOR SELECTED PURSUANT TO THIS PROVISION.
If any provision hereof is invalid or unenforceable in any jurisdiction, to the fullest extent permitted by law that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable in such jurisdiction, and shall be construed in order to carry out the intentions of this Agreement as nearly as possible. Waiver of any rights by RIFC or the Stadium on one or more occasions shall not constitute a waiver of any such right on any other occasion.
I agree that this Agreement constitutes the sole and entire agreement between me, RIFC, and the Stadium with respect to attendance at RIFC events at the Stadium, and supersedes all other understandings, agreements, representations and warranties, both written and oral.
